MEMORANDUM OF AGREEMENT made this nineth day of December, 1930 BETWEEN James Joyce, Esquire, c/o Shakespeare & Co., 12 Rue de l`Odéon, Paris (Hereinafter called the Author) of the one part and Miss Sylvia beach, Shakespeare and Company, 12 Rue de l`Odéon, Paris (Hereinafter called the Publisher) of the other part, whereby it is agreed by and between the parties as follows:

THE AUTHOR HEREBY AGREES:

1. To assign to the Publisher the exclusive right of printing and selling throughout the world, the work entitled ULYSSES.

THE PUBLISHER HEREBY AGREES:

1. To print and publish at her own risk and expense the said Work.
2. To pay the Author on all copies sold a royalty on the published price of twenty-five per cent.
3. To abandon the right to said Work if, after due consideration such a step should be deemed advisable by the Author and the Publisher in the interests of the AUTHOR, in which case, the right to publish said Work shall be purchased from the Publisher at the price set by herself, to be paid by the Publishers acquiring the right to publish said Work.
